In most mergers and acquisitions, one of the key factors that affect the purchase price is the workforce and the benefits, rights and obligations in connection with the same.  Don’t make the mistake of assuming that such transactions are the ends to your relationships with your clients.  Instead these may often be new opportunities to offer your additional products and services, and, at minimum, to build additional goodwill depending on how you are able to involve yourself in helping your clients navigate through the entire transaction process with respect to their employees. In summary we will (1) review various structures of mergers and acquisitions, and how that may affect the client with respect to its employees and benefits; (2) discuss the general stages of the transactions from negotiating the terms, due diligence, preparing documents, closing and post-closing in order to better understand how you may be able to better assist the client in each of these stages and identify opportunities for you to generate future business; (3) look at some specific provisions in deal documents that all parties including the lawyers could use help from you.
