What do Your Clients Need to Know for Health Care and Taxation...What's Affordability? (1 MA CE C00471)
What are the pressing issues for tomorrow's workforce? Employers need and want more guidance on changing laws that impact their business.
PresenterEileen P. McAnneny, Esq. became the Senior Vice President and Associate General Counsel for Government Affairs for Associated Industries of Massachusetts - the state’s largest nonprofit, nonpartisan association of Massachusetts’ employers.  With more than 7,000 members who employ nearly one out of every five workers in Massachusetts, A.I.M.’s mission is to promote the well-being of its members and the prosperity of the Commonwealth of Massachusetts by improving the economic climate, proactively advocating fair and equitable public policy, and providing relevant, reliable information and excellent services.

This one hour workshop will address the economic and fiscal challenges facing the Commonwealth and how it impacts public policy. Ms. McAnneny will speak on the major changes in Massachusetts law affecting Employers today and what to expect in the 2009 Legislative session.

Charting the Course - Mergers & Acquisitions (1 MA CE #C00470)
Presenter: Dongsup Samuel Kim concentrates his practice in representing a wide range of private and public corporate clients, including a wide range of internet-based companies, computer hardware and software companies, medical and optical device companies and other technology-based companies. He has extensive experience in domestic and international mergers and acquisitions of all sizes, industries and complexities, technology licensing, "angel" and venture capital financing and secured and unsecured lending.
Course Content:
In most mergers and acquisitions, one of the key factors that affect the purchase price is the workforce and the benefits, rights and obligations in connection with the same.  Don’t make the mistake of assuming that such transactions are the ends to your relationships with your clients.  Instead these may often be new opportunities to offer your additional products and services, and, at minimum, to build additional goodwill depending on how you are able to involve yourself in helping your clients navigate through the entire transaction process with respect to their employees. In summary we will (1) review various structures of mergers and acquisitions, and how that may affect the client with respect to its employees and benefits; (2) discuss the general stages of the transactions from negotiating the terms, due diligence, preparing documents, closing and post-closing in order to better understand how you may be able to better assist the client in each of these stages and identify opportunities for you to generate future business; (3) look at some specific provisions in deal documents that all parties including the lawyers could use help from you
